Arbroath Choral Society

Constitution

  1. The society shall be known as "The Arbroath Choral Society".
  2. OBJECT: To promote choral singing within the area by the presentation of concerts from time to time.
  3. MEMBERSHIP: The members of the society shall be those persons who pay the annual subscription at the appropriate rates as shall be determined by the Committee, the subscription being payable in advance, and (in the case of performing members) who shall provide such evidence of musical ability as the Committee may require.
  4. OFFICERS AND COMMITTEE: The business of the society shall be conducted by a Committee of eight members, including a Chairman, a Secretary, and a Treasurer. The Chairman shall preside at all meetings of the society other than rehearsals, and at meetings of the Committee. In his absence his place shall be taken by such other members of the Committee as the Committee may choose.
    The Secretary shall keep a record of the business decided at all meetings of the society other than rehearsals, ond of the Committee. The Treasurer shall take charge of all monies of the society and shall give and account of the finances at the Annual General Meeting.
  5. In addition, the Conductor shall be ex-officio a member of the Committee.
  6. FINANCE:
    1. A banking account shall be opened in the name of the society, to be operated by the Chairman, the Secretary, and the Treasurer.
    2. The Society may receive donations, grants in aid, and financial guarantees, and tickets for any or all of its concerts, and other events may be offered for sale to the public.
    3. The income and property of the society, whencesoever derived shall be applied solely towards promoting the objects of the society as set forth above, and no portion thereof shall be paid or transferred either directly or indirectly to any member or members of the society except in payment or legitimate expenses incurred on behalf of the society.
    4. In the event of the winding up or dissolution of the society, any remaining assets after all liabilities have been discharged shall not be paid or transferred to any member or members of the society, but shall be transferred to a charitable organisation whose objects are similar to those of the society and whose rules preclude the distribution of income and assets among its members.
  7. The committee shall be elected at the Annual General Meeting. They shall serve for one year and may be re-elected.
  8. The Hon. Conductor and the Hon. Accompanist similarly shall be elected at the Annual General Meeting.
  9. The Annual General Meeting shall be held at the start of the session.
  10. The annual programme, time and place of rehearsals, and musical direction shall be within the responsibility of the Committee in consultation with the Hon. Conductor.
  11. AMENDMENTS: The costitution may be ammended by a two-thirds majority of the members present at an Annual or Special General Meeting, provided that fourteen days notice of the proposed ammendment has been sent to all members and provided also that nothing therein contained shall authorise any amendment which shall have the effect of the society ceasing to be a charity.
